Keith Anderson, Director

Keith Anderson served as Chief Executive Officer of Skyline Champion Corporation from June 2018 through June 2019, and has served as a Director since June 2018. He was member of Champion Holdings Board of Managers from June, 2013 through June 2018.Mr. Anderson currently resides on the board of Cascade Finance and the Executive Committee of the Manufactured Housing Institute. In addition, he is a member of the Advisory Boards for both Fannie May and Freddie Mac.Mr. Anderson previously held executive positions with major finance, mortgage and insurance providers to the manufactured home industry. He served as President and CEO of Green Tree Servicing (formerly Conseco Finance) from 1995 through 2012. Following Walter Investment Management’s acquisition of Green Tree in 2013, he served as Walter’s EVP and Chief Operating Officer in which he continued to lead Green Tree Servicing and assumed responsibility for Ditech Mortgage and Green Tree Insurance.Mr. Anderson, a licensed CPA, started his career at Deloitte & Touche, spending five years as audit supervisor. He is a graduate of the University of Illinois and received an MBA from DePaul University.

Timothy Bernlohr, Chairman of the Board, Director

Timothy Bernlohr became a director of Skyline Champion on June 1, 2018 in connection with the Exchange and has served as Chairman of the Board of Directors of Skyline Champion since that time. He served as Chairman of the Board of Managers of Champion Enterprises Holdings, LLC from 2010 through May 2018. Mr. Bernlohr is the founder and managing member of TJB Management Consulting, LLC, which specializes in providing project-specific consulting services to businesses in transformation, including restructurings, interim executive management and strategic planning services. Mr. Bernlohr founded the consultancy in 2005. Mr. Bernlohr was President and Chief Executive Officer of RBX Industries, Inc., which was a nationally recognized leader in the design, manufacture and marketing of rubber and plastic materials to automotive, construction and industrial markets, until it was sold in 2005. Prior to joining RBX Industries, Inc. in 1997, Mr. Bernlohr spent 16 years in the International and Industry Products division of Armstrong World Industries, where he served in a variety of management positions. Mr. Bernlohr also serves as a director and chairman of the compensation committees of WestRock Company and International Seaways Inc., and as a director and chairman of the Audit committee of Atlas Air Worldwide Holdings, Inc. Within the last five years he was a director of Chemtura Corporation, Rock-Tenn Company, Cash Store Financial Services Inc. and Overseas Shipholding Group, Inc. Mr. Bernlohr holds a B.A. in Arts and Sciences from Pennsylvania State University.

Michael Berman, Director

Michael Berman served as Chief Financial Officer and Executive Vice President of GGP since December of 2011 until he retired from the company in 2018. He was responsible for GGP’s capital markets, finance, accounting, tax, technology and external communications functions. Prior to his role as CFO of GGP, Mr. Berman served as Executive Vice President and Chief Financial Officer of Equity LifeStyle Properties. His role with ELS, a leading owner and operator of manufactured home communities, RV resorts and campgrounds in North America, will bring additional industry experience, from a customer’s perspective, to the Board of Skyline Champion. Mr. Berman has been an associate professor at the New York University Real Estate Institute and was in the investment banking department at Merrill Lynch & Co. from 1989 until 2002. During his time at Merrill Lynch he participated in numerous capital market and advisory transactions including the initial public offerings of Equity Residential Properties, Vornado, Inc. and Equity Office Properties, all current or former members of the S&P 500. Mr. Berman currently serves as chairman of the Audit Committee for Brixmor Property Group, Inc. Mr. Berman holds a master’s of business administration from Columbia University Graduate School of Business, a law degree from Boston University School of Law, and a bachelor’s degree in history from Binghamton University in New York.

Eddie Capel, Director

Eddie Capel is the Chief Executive Officer of Manhattan Associates, Inc.(“Manhattan”), which develops, sells, deploys and services solutions designed to manage supply chains, inventory and omnichannel operations for retailers, wholesalers, manufacturers, logistic providers and other organizations. Eddie has led the efforts to drive the strategic direction and quality execution for Manhattan Associates, Inc.’s product management, research and development, and customer support disciplines. He has led Manhattan’s transition to utilizing an integrated cloud-based software solution suite for retail focused customers. He has spent the majority of his professional career developing and delivering technology solutions for large manufacturing companies, with integrated manufacturing, supply chain and distribution operations.

John C. Firth, Director

John C. Firth was elected as a director of Skyline Corporation in 2006 and continues to serve as a director of Skyline Champion Corporation. Mr. Firth currently serves as President of Quality Dining, Inc. and is a member of its Board of Directors. Quality Dining operates over 200 restaurants in seven states and employs over 8,000 people. From March 1994 through April 2005, Quality Dining’s shares were traded on the NASDAQ. Prior to being named President, Mr. Firth served in a variety of capacities including Executive Vice President, Principal Financial Officer and General Counsel. Before joining Quality Dining in 1996, Mr. Firth was a partner in a South Bend, Indiana law firm. He was appointed to the Indiana Corporate Law Commission by Indiana Governor Joseph E. Kernan (2004 to 2006). Mr. Firth served on the Board of Directors of Smart Temps, LLC, a start-up company which offers industry-leading, cloud-based solutions for real-time temperature management and monitoring from February 2010 until the company was sold to a public company in January 2017. The Board benefits from his executive management experience, strategic vision, corporate governance acumen, business judgment and financial expertise.

Michael Kaufman, Director

Michael Kaufman is the Chief Executive Officer of MAK Capital, a financial investment advisory firm based in New York, New York, which he founded in 2002. Mr. Kaufman holds a B.A. degree in Economics from the University of Chicago, where he also received his M.B.A. He also earned a law degree from Yale University.

Erin Mulligan Nelson, Director

Erin Mulligan Nelson is Chief Executive Officer of CSDC Systems, Inc., which helps governments automate their services, improve operational efficiency and modernize how they interact with their citizens through a comprehensive software platform. Ms. Nelson most recently served as Executive Vice President and Chief Marketing Officer for SunPower Corporation and previously served as Chief Marketing Officer for Bazaarvoice and Dell, Inc. Erin has led brand strategy, global communications, social media, corporate social responsibility, global research, marketing talent development and agency management. She served on the Dell, Inc.’s executive committees for corporate philanthropy, diversity and sustainability. Erin has served on two private company boards and has a bachelors degree in International Business and Marketing from the University of Texas.

Gary E. Robinette, Director

Gary E. Robinette served as a member of the Champion Enterprises Holdings, LLC board of managers since 2010. Mr. Robinette has been the President and Chief Executive Officer of Ply Gem Industries Inc. since October 2006, at which time he was also elected to Champion Enterprises Holdings’ Board of Directors. Mr. Robinette was elected Vice Chairman of the Ply Gem Board of Directors in May 2013 and was appointed Chairman of the Ply Gem Board of Directors in 2015. Prior to joining Ply Gem, Mr. Robinette served as Executive Vice President and COO at Stock Building Supply, formerly a Wolseley company, since September 1998, and was also a member of the Wolseley North American Management board of directors. Mr. Robinette held the position of President of Erb Lumber Inc., a Wolseley company, from 1993 to 1998 and served as Chief Financial Officer and Vice President of Carolina Holdings which was the predecessor company of Stock Building Supply. Mr. Robinette received a B.S. in accounting from Tiffin University and a M.B.A. from Xavier University, where he is a member of the board of trustees. He is also a member of the Policy Advisory Board of Harvard University’s Joint Center for Housing Studies and serves on the board of directors for three companies sponsored by private equity firms.

Mark Yost, President, Chief Executive Officer and Director

Mark Yost was appointed a Director of Skyline Champion Corporation on May 1, 2019 and was named Chief Executive Officer effective June 1, 2019. He previously served as Executive Vice President and President of U.S. Operations. Mr. Yost joined Champion Home Builders in June 2013 as Chief Financial Officer and was appointed President in November 2016. Prior to joining Champion, Mr. Yost served as CFO and EVP for Severstal North America. Mr. Yost received his Bachelor of Science degree in finance and his MBA from the University of Michigan.
